Ascension Football Group – Terms and Conditions of Use
Effective Date: November 2025
Jurisdiction: Cayman Islands
This Terms and Conditions Agreement (“Agreement”) governs the access and use of all services, websites, platforms, applications, programs, and activities operated by Ascension Football Group Ltd., a company duly incorporated and existing under the laws of the Cayman Islands (“Ascension Football Group,” “Ascension,” “we,” “our,” or “us”).
By accessing or using any of our Services, you (“User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be legally bound by this Agreement. If you do not agree, you must not use or access any of our Services.
1. Definitions

“Services” include, but are not limited to, all programs, activities, events, media productions, websites, applications, and digital platforms operated under Ascension Football Group, including:

Ascension FC – The football club arm.

Ascension Academy – The youth development and training division.

Ascension Media – The content, events, and promotional arm.

The Ascension Vault – The online digital platform and subscription database.

“Content” means any data, media, or materials made available through our Services, including text, images, video, software, audio, or documentation.

“User Content” means any content submitted, uploaded, or shared by you through our Services.
2. Eligibility and Acceptance
You must be at least 13 years of age to use our Services. If under 18, you confirm that you have obtained consent from a parent or legal guardian who accepts full responsibility for your actions and compliance with this Agreement.
By registering for, accessing, or using any Ascension Service, you enter into a legally binding contract with Ascension Football Group under Cayman Islands law.
3. Registration and Account Responsibility
Certain Services require account creation. You agree to:

Provide complete and accurate information at registration;

Maintain confidentiality of your credentials; and
-
Accept full responsibility for all activity conducted under your account.
Ascension reserves the right to suspend or terminate any account suspected of providing false information or breaching this Agreement.
4. Fees, Payments, and Subscriptions
4.1 Fees – All fees for academy programs, club participation, or subscription access are stated in Cayman Islands Dollars (CI$) or U.S. Dollars (USD), as applicable.
4.2 Payments – Fees must be paid in advance via approved payment methods. By submitting payment information, you authorize Ascension to process charges in accordance with this Agreement.
4.3 Renewals – Subscription services, including The Ascension Vault, may automatically renew unless cancelled prior to renewal.
4.4 Refunds – Fees are non-refundable, except as required under Cayman Islands law or expressly stated in writing by Ascension.
5. Participation and Conduct
All Users, players, and participants agree to conduct themselves with integrity, respect, and professionalism. You agree not to:

Engage in abusive, harassing, defamatory, or discriminatory behavior;

Upload or distribute false or unauthorized content;
-
Interfere with or attempt to compromise Ascension systems or networks; or
-
Misrepresent affiliation with Ascension or its partners.
Breach of this clause may result in immediate suspension, expulsion, or legal action.
6. Media, Photography, and Publicity
By participating in any Ascension program, training, or event, or by using our Services, you irrevocably consent to the recording, photography, and use of your name, likeness, image, and performance by Ascension Football Group for promotional, commercial, and media purposes in perpetuity, worldwide, and in all formats.
You waive any right to inspect or approve such use or to claim royalties, unless otherwise agreed in writing.
7. Intellectual Property Rights
All intellectual property rights in the Services and Content (including all trademarks, trade names, designs, media, and databases) are the exclusive property of Ascension Football Group or its licensors.
You are granted a limited, non-transferable, non-exclusive license to access and use the Services for lawful purposes only. You may not copy, reproduce, modify, or distribute any Content without written permission.
8. User-Generated Content
By submitting or uploading User Content, you grant Ascension a non-exclusive, perpetual, royalty-free, transferable, worldwide license to use, reproduce, modify, publish, display, and distribute such content in connection with Ascension’s operations, media, or promotional efforts.
You warrant that:

You own or have the right to license the User Content; and
-
Your content does not infringe upon the rights of any third party.
Ascension reserves the right to remove any User Content at its discretion.
9. Data Protection and Privacy
Ascension Football Group is fully compliant with the Cayman Islands Data Protection Act (2021 Revision).

Personal data is collected, processed, and stored lawfully, fairly, and securely.

Users have the right to access, rectify, or request deletion of personal data in accordance with the DPA.

By using our Services, you consent to our collection and use of data as described in our Privacy Policy.

10. Limitation of Liability
To the fullest extent permitted by Cayman Islands law, Ascension Football Group, its directors, employees, agents, and affiliates shall not be liable for any:

Personal injury, property damage, or loss arising from participation in Ascension activities;

Indirect, incidental, consequential, or punitive damages;
-
Loss of data, profits, goodwill, or reputation resulting from use or inability to use the Services.
Participation in Ascension programs is undertaken at your own risk.
11. Indemnification
You agree to indemnify, defend, and hold harmless Ascension Football Group Ltd., its subsidiaries, affiliates, directors, officers, employees, representatives, agents, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, actions, proceedings, losses, damages, liabilities, costs, and expenses (including, without limitation, reasonable legal fees and court costs) arising out of, relating to, or in connection with, but not limited to:

your use or misuse of any of the Services;

your breach or alleged breach of this Agreement or any applicable law or regulation;

any actual or alleged infringement or violation by you of the rights of any third party, including intellectual property, privacy, or publicity rights;

your participation in any Ascension program, event, or activity; and/or
-
any and all other acts, omissions, or conduct by you in connection with your use of our Services or dealings with Ascension.
This indemnity obligation shall apply to the fullest extent permitted by law and shall survive the termination or expiration of this Agreement and your use of the Services.
12. Termination
Ascension reserves the right to suspend or permanently terminate access to its Services at any time, with or without notice, if a User is found in violation of this Agreement or engages in conduct deemed harmful to Ascension’s reputation or operations.
13. Governing Law and Jurisdiction
This Agreement and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to conflict of law principles.
The parties irrevocably submit to the exclusive jurisdiction of the Grand Court of the Cayman Islands for all disputes arising under or in connection with this Agreement.
14. Amendments
Ascension reserves the right to update or modify these Terms at any time.
Changes shall be effective upon posting to our website or digital platforms. Continued use of the Services constitutes acceptance of the revised Agreement.
15. Entire Agreement
This Agreement, together with our Privacy Policy, constitutes the entire understanding between you and Ascension Football Group regarding the use of our Services and supersedes all prior agreements or understandings.
